Terms of Service — Apex Cloud Host LLP

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Apex Cloud Host LLP ("Apex", "Company", "we", "us"), a Limited Liability Partnership registered under the Limited Liability Partnership Act, 2008 in India.

By accessing our website, creating an account, or registering a domain, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy.

If you are registering on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

To use our services, you must:

Be at least 18 years of age (or the legal age of majority in your jurisdiction)
Have the legal capacity to enter into binding contracts
Not be subject to any sanctions that would prohibit you from transacting with Indian companies
Provide accurate and complete registration information

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current and complete information during registration
Keep your password secure and not share it with any third party
Notify us immediately at [email protected] if you suspect unauthorized account access
Not create multiple accounts to circumvent account limitations or bans

Apex Cloud Host LLP is not liable for any loss or damage arising from unauthorized account access resulting from your failure to maintain account security.

4. Domain Registration

All domain registrations are subject to:

Availability at the time of registration (domains are not reserved until payment is confirmed)
ICANN's policies and the rules of the relevant domain registry
Your compliance with this Terms of Service and our AUP

You acknowledge that Apex Cloud Host LLP acts as a domain registrar and that the domain registry (not Apex) maintains final authority over domain availability, allocation, and policies.

Domain registrations are not transferable to third parties without prior written approval from Apex Cloud Host LLP.

5. Fees & Payment Terms

All fees are displayed in USD unless otherwise stated. Indian customers may also see prices in INR (at current exchange rates). Prices are inclusive of applicable taxes where required.

Payment is due in full at the time of registration, renewal, or transfer. We accept Visa, Mastercard, UPI, Net Banking, and cryptocurrency via Cryptomus.

Refund Policy: We offer a 30-day money-back guarantee on domain registrations. Refunds are not available after 30 days, for domains in redemption period, or for domains transferred away from our platform.

Chargebacks initiated without first contacting our support team will result in immediate account suspension and may incur a $25 chargeback processing fee.

6. Domain Renewals & Expiry

Domains must be renewed before their expiry date to avoid disruption of service. We will send renewal notices to your registered email address at 60, 30, and 7 days before expiry.

If a domain expires and is not renewed:

Days 1–30: Grace period — domain can be renewed at standard price
Days 31–60: Redemption period — domain may be redeemed at a higher fee
After day 60: Domain is released back to public registration

Apex Cloud Host LLP is not responsible for domains lost due to non-renewal. We strongly recommend enabling auto-renewal.

7. Domain Transfers

To transfer a domain to another registrar, you must:

Unlock the domain (disable domain lock) in your dashboard
Obtain the authorization code (EPP/AuthCode) from your dashboard
Ensure the domain is not within 60 days of initial registration (ICANN restriction)
Ensure the registrant contact email is accessible to receive transfer confirmation

There are no transfer-out fees. Transfer-in pricing is available on our Domains page.

8. WHOIS Data Requirements

ICANN requires that accurate and current registrant contact information be maintained for all domain registrations. You agree to:

Provide accurate registrant information at the time of registration
Update your contact information promptly if it changes
Respond to verification requests within 15 days

Failure to maintain accurate WHOIS data may result in domain suspension per ICANN regulations.

9. Prohibited Activities

In addition to the activities listed in our Acceptable Use Policy, you may not:

Attempt to gain unauthorized access to our systems or other customers' accounts
Reverse engineer or decompile any portion of our software or services
Use our services to engage in any activity that could damage our reputation or the domain registration ecosystem
Resell our services without entering into a separate reseller agreement

10. Termination

Either party may terminate this agreement:

You: May close your account at any time by contacting support. Registered domains will continue until their expiry date.
Apex: May suspend or terminate your account immediately for: material breach of these Terms, non-payment, or violation of our AUP.

Upon termination, you remain responsible for any outstanding fees. Domains registered to your account will remain in your control unless suspended for policy violations.

11. Limitation of Liability

To the fullest extent permitted by law, Apex Cloud Host LLP shall not be liable for:

Loss of profits, revenue, data, or business opportunities
Indirect, incidental, special, or consequential damages
Domain loss due to registry issues, force majeure, or customer non-renewal
Third-party actions, including DNS attacks or domain hijacking caused by customer security failures

Our total liability for any claim shall not exceed the amount paid by you to Apex Cloud Host LLP in the 12 months preceding the claim.

12. Disputes & Arbitration

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India, with the seat of arbitration in Mumbai, Maharashtra.

Domain-related disputes with third parties are subject to ICANN's Uniform Domain-Name Dispute-Resolution Policy (UDRP).

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes not resolved through arbitration.

14. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
